1. Acceptance of Terms

By accessing or using the AdCast digital signage platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We recommend that you also review our Privacy Policy, which describes how we handle your personal data.

2. Service Description

AdCast is a cloud-based digital signage platform that enables you to:

  • Remotely manage and control digital signage displays and Android TV devices.
  • Upload, organize, and schedule media content (images, videos, web pages, apps) for display.
  • Create playlists, manage schedules, and configure multi-zone layouts.
  • Monitor device health, view playback analytics, and generate proof-of-play reports.
  • Access the platform via web dashboard, REST API, and companion Android TV application.

The Service is provided on a subscription basis with various plan tiers as described on our Pricing page.

3. Account Registration

To use AdCast, you must create an account. When registering, you agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Content Guidelines

You retain ownership of all content you upload to AdCast. By uploading content, you grant us a limited license to store, process, and deliver that content to your registered devices as part of the Service.

You agree not to upload, distribute, or display content that:

  • Infringes any copyright, trademark, patent, or other intellectual property right of any third party.
  • Contains illegal, defamatory, threatening, harassing, or obscene material.
  • Promotes violence, discrimination, or hatred against any individual or group.
  • Contains malware, viruses, or any code designed to disrupt or damage systems.
  • Violates any applicable local, national, or international law or regulation.
  • Impersonates any person or entity or misrepresents your affiliation.

We reserve the right to remove content that violates these guidelines and to suspend or terminate accounts of repeat offenders without prior notice.

5. Device Management

You are responsible for:

  • Ensuring your devices meet the minimum hardware and software requirements for the AdCast application.
  • Maintaining a stable internet connection for your devices to receive content updates and report status.
  • Physically securing your devices in their deployed locations.
  • Keeping the AdCast device application updated to the latest available version.
  • Managing device registration codes and preventing unauthorized access to your device fleet.

The number of devices you can manage is determined by your subscription plan. Exceeding your plan's device limit may result in additional charges or service restrictions.

6. Billing and Payments

6.1 Subscription Plans

AdCast offers monthly and annual subscription plans. Plan details, features, and pricing are available on our Pricing page. We reserve the right to modify pricing with 30 days advance notice.

6.2 Free Trial

New accounts may be eligible for a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial expires. No charges will be made during the trial period.

6.3 Payment Methods

We accept payments via credit/debit card (processed by Stripe) and PayPal. By providing payment information, you authorize us to charge the applicable subscription fees on a recurring basis.

6.4 Refunds

Subscription fees are generally non-refundable. However, if you are dissatisfied with the Service within the first 14 days of your initial paid subscription, you may request a full refund by contacting our support team.

6.5 Late Payments

If a payment fails, we will attempt to retry the charge. If payment remains unsuccessful after multiple attempts, we may suspend your account until the outstanding balance is resolved. Your content and device configurations will be preserved for 30 days after suspension.

7. Service Availability

We strive to maintain a 99.9% uptime for the AdCast platform. However, we do not guarantee uninterrupted access and the Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible).
  • Emergency maintenance to address security vulnerabilities or critical bugs.
  • Circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, or third-party service failures.

Devices running the AdCast player application are designed to continue displaying cached content during periods of connectivity loss.

8. Intellectual Property

The AdCast platform, including its software, design, logos, documentation, and all related intellectual property, is owned by AdCast and protected by copyright, trademark, and other applicable laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Copy, modify, or create derivative works of the platform.
  • Resell, sublicense, or redistribute the Service without our written authorization.
  • Remove or alter any proprietary notices or labels on the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AdCast is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be error-free, secure, or uninterrupted.
  • In no event shall AdCast be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Our total aggregate liability arising from or related to these Terms shall not exceed the amount you have paid to AdCast in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless AdCast and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Content you upload or display through the platform.
  • Your violation of these Terms or any applicable law.
  • Your infringement of any third-party rights.

11. Termination

11.1 By You

You may cancel your subscription and close your account at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

11.2 By Us

We may suspend or terminate your access to the Service immediately if:

  • You breach any material provision of these Terms.
  • You fail to pay subscription fees after reasonable notice.
  • Your use of the Service poses a security risk or may adversely affect other users.
  • We are required to do so by law.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted. Provisions that by their nature should survive termination (including limitation of liability and indemnification) shall remain in effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify you via email or through a prominent notice on our platform at least 14 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and close your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
